Website Build and Management Agreement
Website Agreement – Upfront Payment + Monthly Management
Effective Date: The date of payment submitted via email link or invoice
Provider: Winston Web Co Ltd (Company No. 15016093)
Client: The individual or business completing the payment
1. Agreement to Terms
By submitting payment for the website and/or management subscription, the Client confirms that they:
- Have read and understood this Website Agreement
- Accept the scope of work, payment obligations, and ongoing responsibilities
- Authorise Winston Web Co to provide hosting, management, and support services under these terms
- Agree to all clauses below, including ownership, liability, and client responsibilities
This Agreement becomes legally binding upon payment and applies from the Effective Date.
2. Payment Breakdown
- Website Design & Build: One-time fee (amount specified in invoice or checkout)
- Ongoing Monthly Management: £100 + VAT per month
The monthly fee covers technical hosting, SSL, maintenance, uptime monitoring, and a set level of content edits and support (see Clause 6). Payment is due monthly in advance by direct debit or card.
3. Term & Cancellation
- The agreement remains active for as long as the Client is using the Provider’s hosting, CMS, or technical services
- The monthly management can be cancelled with 30 days' written notice
- Cancellation of monthly services may result in loss of hosting, support, and website access unless the Client opts for a transfer (see Clause 5)
4. Website Delivery & Ownership
- Full ownership of the website design, structure, and files transfers to the Client once the one-time website fee is paid in full
- If monthly services are cancelled, the Client may request a full website transfer/export, subject to platform limitations and applicable transfer fees
- Domain transfer, if managed by the Provider, will also be handled upon request (see Schedule A)
5. Hosting & Platform
- The website is hosted on the Provider’s managed platform (e.g., Duda or equivalent)
- If the Client wishes to self-host, a platform export or migration may be possible but is subject to limitations and third-party restrictions
- The Provider is not responsible for platform limitations outside its control
6. What’s Included in Monthly Management (£100+VAT)
- Hosting, SSL, CDN, and technical infrastructure
- Up to 3 hours/month of content updates or minor design edits
- Software and platform updates
- Uptime monitoring (99% target uptime)
- Basic support via email during business hours (Mon–Fri, 10am–4pm)
Additional edits, redesigns, or complex updates may be quoted separately. Monthly time does not roll over.
7. Legal Compliance & Content Responsibility
The Provider may supply or generate website content, but the Client is fully responsible for ensuring that:
- All content (including offers, guarantees, and claims) is accurate and legally compliant
- Business information, pricing, and legal documents (e.g., terms, privacy policies) are appropriate for their operations
- They review and approve all content before the website goes live
By approving the website to go live, the Client accepts liability for all published content. The Provider is not responsible for any legal or financial consequences resulting from the website’s content or omissions.
8. Client Obligations
- Timely provision of content, feedback, and approvals
- Maintaining an active and valid payment method for monthly services
- Informing the Provider of any changes to the business that affect the website
9. Third-Party Services & Integrations
- The Provider is not liable for outages, restrictions, or changes to any third-party tools or plugins used on the website
- Where applicable, plugin licenses or third-party subscriptions will be billed separately and are the Client’s responsibility unless otherwise agreed
10. Limitation of Liability
- Winston Web Co’s liability is limited to the total amount paid by the Client in the preceding 3 months
- The Provider is not liable for indirect, incidental, or consequential losses including lost revenue, opportunity, or goodwill
11. Dispute Resolution
- Any disputes will be resolved via informal discussion in the first instance
- If unresolved, both parties agree to mediation prior to any legal action
- This Agreement is governed by English law
Schedule A – Domain Name Management
If the Provider registered the domain on behalf of the Client:
- It remains the Provider’s property unless transferred with agreement
- Transfer requires a £25 + VAT admin fee plus any outstanding renewal costs
- Client-managed domains are solely their responsibility
